General Terms and Conditions of Sale
ARTICLE 1: Designation of the Parties
Between EPYTOME, hereinafter referred to as “EPYTOME”, whose primary activity is consulting in audiovisual strategy and the production of creative works in all formats—chiefly video, photography, and 3D modeling—on behalf of professionals seeking to enhance their commercial visibility through various digital tools. These services include the creation of content tailored to each client’s specific needs, whether for print, social media distribution, websites, etc. They are also available to private individuals wishing to leverage creative content.
On the one hand, and the Client identified in the quotation, hereinafter referred to as the “Client”, on the other hand.
For the purposes of this contract, the following terms are defined as follows:
“Client”: the beneficiary of the services provided by EPYTOME. The term primarily includes professionals, but not exclusively, and may also refer to private individuals.
“Service(s)”: the audiovisual strategy consulting services and the production of creative works provided to the Client by EPYTOME.
ARTICLE 2: Purpose of the Contract
The purpose of this contract is to define the terms under which EPYTOME will perform the Services requested by the Client. These general terms and conditions may be supplemented, where applicable, by special terms appended to the contract. Together, these provisions govern the entire contractual relationship between EPYTOME and the Client.
ARTICLE 3: Application of the General Terms and Conditions of Sale
Placing an order implies full and unreserved acceptance by the Client of these General Terms and Conditions of Sale (GTC), unless otherwise agreed in writing between EPYTOME and the Client. Acceptance of the GTC is subject to the signatory’s legal capacity and authority within the company. The signatory must be of legal age, capable, or acting under legal representation.
Any person signing on behalf of a company is deemed to have the necessary authority to do so. By signing, the Client acknowledges that any signatory, whether employee or representative, fully and validly commits the company, regardless of their role. Upon signing the quotation, the Client expressly waives their right of withdrawal.
ARTICLE 4: Nature of the Services
EPYTOME will provide the Client with the services described in the quotation attached as an annex. Specific details of each service, including deliverables, deadlines, and technical specifications, are set out in the quotation.
Services include, but are not limited to:
Audiovisual creation consulting / marketing strategy (needs analysis, creative recommendations, content strategy)
Pre-production (project coordination, team management, administrative tasks, casting, location scouting, permits, concept development)
Video production (setup, shooting, dismantling, handling)
Photography (photo shoots)
Drone operations (aerial photography and filming in compliance with DGAC regulations)
Post-production (video editing, grading, sound design, photo retouching, export)
EPYTOME reserves the right to make minor adjustments to services in case of unforeseen circumstances, in consultation with the Client, while preserving service quality.
ARTICLE 5: Drone Operations
During any drone mission, EPYTOME strictly complies with French Civil Aviation Authority (DGAC) regulations. This includes:
Providing at least 5 working days’ notice for urban flights to obtain necessary authorizations.
Obtaining written consent from landowners for flights over private property.
Respecting altitude and distance restrictions depending on the environment.
Suspending flights in unsafe weather conditions.
Respecting image rights where subjects are visible.
The Client must provide necessary details to enable safe and compliant flight planning.
ARTICLE 6: Contractual Process
In some cases, no formal written quotation is issued. Instead, two calls (video or telephone) are held:
Needs assessment.
Proposal presentation.
Once agreed, a summary document is issued. Services commence upon the Client’s approval via “Approved” with signature and/or company stamp. EPYTOME reserves the right to refuse to proceed without justification.
ARTICLE 7: Amendments
The contract covers only explicitly agreed services. Changes require mutual written agreement and may result in revised deadlines and/or pricing.
ARTICLE 8: Duration and Effective Date
The contract is effective upon Client signature and remains valid until completion of all agreed services and full payment.
ARTICLE 9: Booking and Subscription
Booking follows initial contact via the “Contact” page (https://epytome.fr/contact) or other agreed means. Each project is priced individually and subject to EPYTOME’s availability.
ARTICLE 10: Payment, Penalties, and Cancellation
A 50% non-refundable deposit is due upon signature.
Balance is payable upon delivery.
Late payment incurs interest at 3× the legal rate plus €40 fixed recovery fee.
In case of Client cancellation, the deposit may be converted into a non-refundable credit valid for 6 weeks.
If production has begun, full payment is due regardless of cancellation.
ARTICLE 11: Delivery
Photos are delivered in .jpeg, videos in .mov or .mp4.
Raw footage can be purchased separately.
ARTICLE 12: Force Majeure / Illness
EPYTOME may cancel in case of force majeure or illness without liability. Efforts will be made to reschedule or find a replacement provider.
ARTICLE 13: Accidental Data Loss
In case of accidental loss beyond EPYTOME’s control, an equivalent session will be offered.
ARTICLE 14: File Retention
Delivered files are kept for 3 months.
Work files are kept for 1 month.
Optional 1-year extended storage is available for €500 excl. VAT.
ARTICLE 15: Intellectual Property
Raw files remain EPYTOME’s property.
Final deliverables are the Client’s property.
EPYTOME may use them for marketing purposes unless otherwise agreed.
ARTICLE 16: Relationship Between Parties
Parties act independently; no employment relationship exists.
ARTICLE 17: Provider Obligations
EPYTOME commits to high-quality, lawful, non-defamatory content.
ARTICLE 18: Client Obligations
The Client must provide necessary information and, where applicable, secure image rights for participants.
ARTICLE 19: Contract Circulation
Both parties agree to obtain signed image rights releases for any identifiable individuals.
ARTICLE 20: Liability Disclaimer
EPYTOME is not liable for indirect damages, loss of profit, or loss of clientele.
ARTICLE 21: Publicity Rights
EPYTOME may reference the Client’s projects in its portfolio and marketing materials.
ARTICLE 22: Jurisdiction
These GTC are governed by French law. Disputes are under the exclusive jurisdiction of the Paris Commercial Court.
